Terms of Service

Effective date: 1 April 2026  ·  Last updated: 15 September 2026

1. Acceptance of Terms

  • By registering for or using TradeEximOS, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not access or use the platform.
  • These Terms apply to all users — individuals, organisations, or entities — that access the platform in any capacity.

2. Subscription Plans & Billing

  • TradeEximOS offers Free, Professional, Enterprise, and Business plans. Paid plans are billed either monthly or annually as chosen at the time of subscription.
  • All prices are listed in Indian Rupees (₹) and are inclusive of applicable taxes (GST at 18%). The displayed plan price is the final amount you pay — no additional tax is charged at checkout.
  • Annual subscriptions are billed upfront for the full year and attract a 20% discount over equivalent monthly billing.
  • A 14-day free trial is available on select paid plans. No credit card is required to start the Free plan.

3. No Refunds Policy

  • All payments made to TradeEximOS are final and non-refundable. Once a subscription charge has been processed, it cannot be reversed, credited, or transferred — regardless of usage.
  • This applies to monthly and annual subscriptions alike. Partial-period refunds (e.g., cancelling mid-month) are not issued.
  • If you believe a charge was made in error due to a technical fault on our end, you may raise a dispute within 7 days of the charge by contacting info@tradeeximos.com. We will investigate and respond within 5 business days.
  • Promotional or discounted payments are non-refundable under any circumstances.

4. Plan Upgrades

  • You may upgrade to a higher plan at any time. Upgrades take effect immediately upon payment confirmation.
  • When upgrading mid-cycle, you will be charged a prorated amount for the remaining days of the current billing period at the new plan rate.
  • All upgraded features, limits, and capabilities become available as soon as the upgrade payment is confirmed.

5. Plan Downgrades & Cancellations

  • Downgrading to a lower plan is not immediate. A downgrade request will be queued and applied at the end of your current billing period.
  • During the remaining period after a downgrade request, you retain access to your current plan's features and limits.
  • You may cancel a pending downgrade at any time before the billing period ends, and your plan will remain unchanged.
  • You may cancel your subscription at any time. Cancellation stops future billing; access continues until the end of the current paid period, after which your account reverts to the Free plan.
  • Data retention after downgrade or cancellation follows our Privacy Policy. See Section 7 for details.

6. Acceptable Use

  • You agree not to use TradeEximOS to transmit spam, malware, or any unlawful content.
  • You must not attempt to reverse-engineer, scrape, or exploit the platform's APIs or infrastructure beyond permitted use.
  • TradeEximOS reserves the right to suspend or terminate accounts that violate these Terms without prior notice or refund.
  • Each account must be used by a single organisation. Reselling access or sharing credentials across unrelated organisations is prohibited.
  • You are solely responsible for the legality of the campaigns and messages you send through the platform (email, WhatsApp, or social posts): no unsolicited or spam communications, no unlawful or misleading marketing claims, and no sending to purchased or scraped contact lists where doing so would be unlawful.
  • You must comply with applicable opt-out/unsubscribe requirements and with the messaging and platform policies of any third-party service you send through (including Meta's WhatsApp Business Policy and Platform Policy).

7. Changes to Terms

  • TradeEximOS may revise these Terms from time to time. Material changes will be communicated via email and in-app notification at least 14 days before taking effect.
  • Continued use of the platform after the effective date of any changes constitutes acceptance of the revised Terms.
  • If you do not accept the revised Terms, you must cancel your subscription before the effective date.

8. Intellectual Property

  • TradeEximOS, its software, design, and all underlying intellectual property are owned by Sagara Global. Nothing in these Terms transfers any ownership of the platform to you.
  • You retain ownership of your business data — leads, contacts, orders, quotations, content, and anything else you upload or create within the platform.
  • You grant TradeEximOS a limited licence to host, process, and display your business data solely to the extent necessary to operate the Services for you.

9. AI Output & Customer Verification

  • TradeEximOS provides software-assisted information, not professional advice or a determination of legal, regulatory, tax, or customs compliance.
  • AI-generated content, classifications, recommendations, summaries, calculations, and predictions — across every AI feature on the platform, including sales scoring, content generation, buyer discovery, and trade-operations tools — may contain errors, omissions, or outdated information.
  • This applies in particular to trade and compliance areas: HS code classification, customs duty and GST/tax estimates, RoDTEP and DGFT rule evaluations, restricted/prohibited goods and licensing requirements, country-of-origin and FTA eligibility, documentation requirements, restricted-party screening, and regulatory deadlines or changes.
  • You must independently verify any AI-generated output — ideally with a licensed customs house agent, tax advisor, or other qualified professional — before relying on it for a business, commercial, regulatory, customs, tax, logistics, or customer-facing decision.

10. Third-Party Integrations

  • Connecting a third-party service (Facebook, Instagram, WhatsApp, LinkedIn, Google, Salesforce, or similar) is also governed by that provider's own terms of service and policies.
  • You represent that you have the right to connect any account you link to TradeEximOS, and you authorise TradeEximOS to post, send, or sync content through it on your behalf as directed by you within the platform.
  • TradeEximOS is not liable for outages, API or policy changes, or data loss caused by a third-party service outside our control.

11. Customer Account & Credential Security

  • You are responsible for maintaining the security of your account password, API credentials, and any third-party accounts (e.g., Facebook, WhatsApp) you connect to the platform.
  • You are responsible for controlling which of your organisation's users have access to TradeEximOS and at what permission level.
  • You must notify TradeEximOS promptly at info@tradeeximos.com if you suspect unauthorised access to your account or a connected third-party account.

12. Disclaimer of Warranties

  • The Services are provided "as is" and "as available." TradeEximOS does not warrant that the platform will be uninterrupted, error-free, or fully secure.
  • TradeEximOS makes commercially reasonable efforts to keep trade-regulation reference data (HS codes, duty rates, FTA rules) current, but does not warrant its completeness or accuracy at any given time.

13. Limitation of Liability

  • To the maximum extent permitted by law, TradeEximOS's aggregate liability arising out of or relating to these Terms is capped at the fees you paid in the 12 months preceding the claim.
  • TradeEximOS is not liable for indirect, incidental, consequential, or special damages, including lost profits, lost shipments, or regulatory penalties.
  • This cap does not apply to liability that cannot lawfully be limited, including fraud, willful misconduct, breach of confidentiality, intellectual property infringement, payment obligations, and indemnification obligations under these Terms.
  • [This clause is a starting draft. The exact cap structure and the full list of carve-outs should be confirmed by qualified legal counsel before this page is treated as final.]

14. Indemnification

  • You agree to indemnify and hold TradeEximOS harmless from third-party claims arising from: data you upload, permissions you grant, the legality of your campaigns or messaging, your trade or compliance decisions, misuse of a connected third-party account, or your instructions to the platform.
  • This indemnity does not extend to claims arising from TradeEximOS's own infringement or misconduct, or to liability that cannot lawfully be shifted by contract — those remain governed by Section 13 above.

15. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of India.
  • Any dispute arising out of or relating to these Terms will be resolved by arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator, seated at [TODO: confirm city], conducted in English.
  • [TODO: confirm the exact registered legal entity name and address to be named as the contracting party in this agreement.]

16. Entire Agreement, Severability & Force Majeure

  • These Terms, together with the Privacy Policy, constitute the entire agreement between you and TradeEximOS regarding the Services.
  • If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
  • TradeEximOS is not liable for delay or failure to perform caused by events outside its reasonable control, including outages of Meta, Google Cloud, our payment gateway, or other third-party infrastructure, natural disasters, or government action.
  • A failure by TradeEximOS to enforce any provision of these Terms is not a waiver of that provision.
